1. Nature and Purpose of BuyBizNow
BuyBizNow is an independent online listing platform that enables individuals, businesses and organisations to publish and view listings relating to businesses available for acquisition.
The platform specialises in businesses offered with full or partial vendor finance and also accommodates alternative acquisition arrangements, including share and equity exchanges, property and land exchanges, asset exchanges, services-for-equity arrangements and other mutually agreed acquisition methods.
BuyBizNow operates solely as a listing platform. It does not advertise, market, promote, broker, negotiate, arrange or facilitate the sale, purchase, exchange or transfer of any listed business, shares, assets or ownership interests.
2. No Brokerage, Agency or Professional Services
BuyBizNow is not, and does not act as, a:
- Business broker or business transfer agent;
- Estate agent or commercial property agent;
- Mediator, negotiator or intermediary;
- Business valuer, evaluator or appraiser;
- Financial adviser or investment adviser;
- Legal, accounting or tax adviser;
- Business acquisition consultant;
- Transaction facilitator or representative of any party.
BuyBizNow does not represent, advise, assist or act on behalf of buyers, sellers, investors or other parties.
3. No Involvement in Transactions
BuyBizNow has no involvement in transactions arising from listings published on its platform.
BuyBizNow does not:
- Negotiate or arrange business acquisitions;
- Introduce or recommend particular buyers or sellers;
- Assist buyers or sellers with transactions;
- Determine or recommend business valuations;
- Assess the suitability of businesses for acquisition;
- Arrange or negotiate vendor-finance agreements;
- Structure share, equity, property or asset exchanges;
- Prepare or review transaction agreements;
- Conduct due diligence on behalf of users;
- Handle payments, deposits or transaction funds;
- Supervise, administer or complete transactions;
- Act as an intermediary between transaction participants.
All enquiries, discussions, negotiations, agreements and transactions are conducted independently between the relevant parties.
4. Responsibility for Listings
Individuals and organisations submitting listings are solely responsible for ensuring that all information provided is accurate, lawful, complete and not misleading.
BuyBizNow does not guarantee or independently verify the accuracy, legitimacy, ownership, valuation, financial performance or availability of any listed business or acquisition opportunity.
The presence of a listing on BuyBizNow does not constitute an endorsement, recommendation, certification or guarantee.
5. Responsibility of Buyers and Sellers
Buyers, sellers and other interested parties are solely responsible for conducting their own investigations, due diligence and negotiations.
They must independently determine the suitability, legality, commercial viability and financial implications of any proposed transaction.
Users are encouraged to seek appropriate independent legal, financial, accounting and tax advice before entering into any agreement.
6. Vendor Finance and Alternative Acquisitions
BuyBizNow provides listing categories for businesses offered through full or partial vendor finance and other acquisition methods.
The inclusion of these categories does not constitute financial advice, transaction assistance or endorsement of any particular acquisition structure.
All terms, conditions and obligations associated with vendor finance, share exchanges, equity transfers, property exchanges, asset swaps or other arrangements remain entirely the responsibility of the relevant parties.
7. No Guarantees
BuyBizNow does not guarantee:
- The accuracy or authenticity of listings;
- The legitimacy or financial standing of listing participants;
- The availability of any listed business;
- The suitability or profitability of any acquisition;
- The enforceability of vendor-finance or exchange arrangements;
- The completion of any transaction;
- Any particular commercial or financial outcome.
8. Limitation of Liability
To the fullest extent permitted by applicable law, BuyBizNow shall not be liable for losses, damages, disputes or claims arising from transactions, negotiations, agreements or arrangements between users of the platform.
Nothing in this notice excludes or limits liability that cannot lawfully be excluded or limited.
9. Listing Fees
Any fees charged by BuyBizNow relate exclusively to the provision of listing services and associated platform features expressly included in the relevant package.
Payment of a listing fee does not entitle any user to brokerage, negotiation, mediation, valuation, advisory or transaction assistance services.
10. Independent Dealings
All transactions are private arrangements between the relevant parties.
BuyBizNow is not a party to any agreement or transaction arising from a listing and accepts no responsibility for its negotiation, performance, completion or enforcement.
11. Legal and Regulatory Compliance
Users are responsible for complying with all applicable laws and regulations concerning their proposed transactions.
BuyBizNow reserves the right to review, reject, suspend or remove listings that breach its platform policies or applicable legal requirements.
Nothing in this notice affects any statutory rights or obligations that cannot lawfully be excluded.
