Decentralised Decision Making. Flexible Financing. Freedom and Opportunity.
**Welcome to BuyBizNow – Democratising Business Ownership Through Vendor Finance and Alternative Acquisitions.**
BuyBizNow is a global online marketplace connecting business sellers, buyers, business brokers, commercial estate agents and investors interested in alternative business acquisition arrangements.
Our platform focuses on **full or partial seller financing, hybrid acquisition structures, and alternative share, equity and ownership exchanges.**
To maintain transparency, fairness and marketplace integrity, all listings and advertisements must comply with the following guidelines.
---
## 1. Business Listing Eligibility – Seller Financing Required
**All businesses advertised for sale on BuyBizNow must offer full or partial seller financing (also known as vendor finance).**
This is a fundamental requirement of our marketplace.
Seller financing means that the seller agrees to finance an agreed portion of the purchase price, allowing the buyer to pay that amount over time under mutually agreed terms.
### Accepted Financing Structures
BuyBizNow welcomes the following arrangements:
- **100% Seller Financing:** The seller finances the entire purchase price, subject to agreed repayment terms.
- **Partial Seller Financing:** The buyer pays an initial deposit or contributes other funding, while the seller finances the remaining agreed portion.
- **Hybrid Financing:** A combination of buyer funds, third-party lending, leveraged buyouts and seller financing.
- **Deferred Purchase Payments:** An agreed portion of the purchase price is paid to the seller over time.
- **Earn-Out Arrangements:** Part of the consideration is linked to future business performance, provided a genuine seller-financed component is also included.
- **Other Negotiated Structures:** Alternative arrangements involving genuine seller financing that are clearly disclosed.
### Example of an Eligible Hybrid Acquisition
A business advertised for $1,000,000 could offer:
| Financing Component | Percentage | Amount |
|---|---:|---:|
| Buyer Down Payment | 10% | $100,000 |
| Leveraged Buyout / Third-Party Finance | 50% | $500,000 |
| Seller / Vendor Finance | 40% | $400,000 |
| **Total Purchase Price** | **100%** | **$1,000,000** |
**This structure is permitted on BuyBizNow.**
The seller-financed component must represent a genuine financing commitment rather than a speculative possibility.
All financing arrangements remain subject to negotiation, lender approval where applicable, legal documentation and the agreement of the relevant parties.
### Ineligible Business Sale Listings
BuyBizNow does not accept:
- Business sale listings requiring 100% upfront cash payment without seller financing.
- Transactions financed exclusively through banks or third-party lenders without a seller-financed component.
- Listings that falsely advertise seller financing.
- Listings containing misleading, unverifiable or deliberately concealed financing conditions.
**Important:** There is no universal minimum percentage of seller financing required. However, a genuine seller-financed component must form part of every eligible business sale listing.
Standalone share, equity and ownership exchanges are subject to the separate eligibility requirements in Section 3.
---
## 2. Mandatory Business Listing Information
All business sellers, brokers and commercial estate agents must provide accurate and sufficiently detailed information.
### Required Information
Each business sale listing must clearly identify:
1. **Business Overview:** Nature of the business, industry, general location and operational activities.
2. **Asking Price:** Total advertised purchase price and applicable currency.
3. **Seller Financing Availability:** The amount or percentage of the purchase price available through vendor finance.
4. **Buyer Contribution:** Any required down payment or initial capital contribution.
5. **Additional Financing:** Any proposed bank finance, leveraged buyout or other third-party funding.
6. **Proposed Repayment Terms:** Where known, the repayment period, interest rate, instalment structure and relevant security requirements.
7. **Sale Structure:** Whether the transaction involves a business transfer, asset sale, share sale or another permitted acquisition structure.
8. **Financial Information:** Accurate financial figures and supporting information where disclosed.
9. **Seller or Representative Status:** Whether the listing is submitted by the owner, an authorised business broker or a commercial estate agent.
10. **Material Conditions:** Any significant restrictions, liabilities, approvals or conditions affecting the proposed transaction.
Where financing terms remain negotiable, the listing must clearly state this.
Sellers must not present proposed or indicative financing arrangements as guaranteed funding.
Confidential information may be withheld from public listings where reasonably necessary, provided the advertisement remains truthful and does not materially mislead prospective buyers.
---
## 3. Share, Equity & Ownership Exchanges
BuyBizNow also accommodates alternative transactions involving the exchange of shares, equity or business ownership interests for monetary or non-monetary consideration.
These opportunities are listed separately through our **Share, Equity & Ownership Exchanges** category.
Unlike ordinary business sale listings, qualifying ownership exchanges do not necessarily require conventional seller financing, provided they involve a genuine exchange of ownership interests for clearly identified consideration.
### Permitted Exchange Arrangements
The following arrangements may be advertised:
**A. Share-for-Share Exchanges**
The exchange of shares in one company for shares in another company.

- **Ownership Offered:** The type and percentage of shares, equity or ownership interests being offered.

All proposed exchanges must be lawful, genuinely intended and capable of being appropriately documented.
Transactions involving securities, financial products, regulated assets or investment arrangements must comply with applicable laws and regulatory requirements.
